1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Scanalyzr ("Company," "we," "us," or "our") concerning your access to and use of the Scanalyzr platform, including our website, mobile applications, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

To use Scanalyzr, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Scanalyzr offers four subscription tiers:

• FREE: 3 QR codes, 100 scans/QR, 7-day analytics, URL type only
• BASIC: 10 QR codes, 1,000 scans/QR, 30-day analytics, all QR types
• PRO: 100 QR codes, 10,000 scans/QR, 90-day analytics, GPS tracking, CSV export
• BUSINESS: 500 QR codes, unlimited scans, 365-day analytics, API access, custom domain

4.2 Billing and Payment

• Subscriptions are billed monthly or yearly based on your selection
• Payments are processed through secure third-party payment processors (Stripe)
• All fees are in the currency selected at checkout (BDT, USD, or INR)
• You authorize us to charge your payment method for recurring subscription fees
• Prices are subject to change with 30 days' notice

4.3 Refunds and Cancellations

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial subscription periods
• 10-day money-back guarantee for first-time paid subscribers
• Refund requests must be submitted within 10 days of initial payment

4.4 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date. You will be charged the then-current subscription fee.

5. Usage Limits and Restrictions

5.1 Fair Use Policy

Usage limits are enforced based on your subscription tier:

• QR code creation limits per tier
• Scans per QR code limits
• Analytics data retention periods
• API rate limits (Mentioned in plan)
• Scan rate limiting: (Mentioned in plan) per IP address

5.2 Prohibited Uses

You may not use the Platform to:

• Create QR codes for illegal, fraudulent, or harmful content
• Distribute malware, viruses, or malicious code
• Violate intellectual property rights
• Engage in phishing, scams, or deceptive practices
• Spam or harass users
• Impersonate others or misrepresent your identity
• Circumvent security measures or usage limits
• Scrape or collect data without authorization
• Create QR codes linking to adult content, gambling, or illegal substances
• Resell or redistribute our services without permission

6. QR Code Content and Ownership

6.1 Your Content

You retain ownership of the content you create through QR codes. By using the Platform, you grant us a license to store, process, and display your QR code data to provide our services.

6.2 Content Responsibility

You are solely responsible for the content of your QR codes and destinations. We do not monitor or control QR code content but reserve the right to remove content that violates these Terms.

6.3 Content Moderation

We reserve the right to remove, disable, or modify QR codes that violate our policies, applicable laws, or third-party rights without prior notice.

7. Intellectual Property Rights

7.1 Platform Ownership

The Platform, including its design, features, code, and branding, is owned by Scanalyzr and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose in accordance with these Terms.

7.3 QR Code Images

QR code images generated through our Platform may be used commercially as long as you maintain an active subscription and comply with these Terms.

8. Data Collection and Analytics

8.1 Analytics Data

When users scan your QR codes, we collect analytics data including IP addresses, device information, location data (with consent for GPS tracking), browser information, and timestamps.

8.2 Data Retention

Analytics data is retained according to your subscription tier (7, 30, 90, or 365 days). After this period, aggregated data may be retained for platform improvement.

8.3 Privacy Compliance

You are responsible for complying with privacy laws (GDPR, CCPA, etc.) when collecting data through QR codes. We recommend adding privacy notices to your QR code destinations.

9. API Access (Business Plan)

9.1 API Usage

• API access is available only on the BUSINESS plan
• Rate limit: 1,000 requests per hour
• Authentication via JWT tokens
• API keys must be kept confidential
• Excessive use may result in throttling or suspension

9.2 API Restrictions

You may not use the API to create competing services, resell access, or exceed rate limits. API access may be modified or discontinued with notice.

10. Third-Party Services

Our Platform integrates with third-party services:

• Google OAuth for authentication
• Cloudinary for image storage and delivery
• Stripe for payment processing

We are not responsible for third-party services, their availability, or their terms. Your use of third-party services is subject to their respective terms and policies.

11. Disclaimers and Warranties

11.1 "As Is" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Service Availability

We do not guarantee uninterrupted, error-free, or secure access to the Platform. Downtime may occur for maintenance, updates, or unforeseen technical issues.

11.3 Accuracy

While we strive for accuracy in analytics data, we do not guarantee 100% accuracy. Analytics are estimates based on available data and may contain errors.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANALYZR SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party content or conduct
• Unauthorized access to your account

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Scanalyzr, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@scanalyzr.com to resolve disputes informally.

14.2 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

14.3 Jurisdiction

Any legal action or proceeding shall be brought exclusively in the courts of [Your Jurisdiction].

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification at least 30 days before they take effect.

Continued use of the Platform after changes constitute acceptance of the updated Terms. If you do not agree, you must discontinue use.

16. Termination

16.1 By You

You may terminate your account at any time by canceling your subscription and deleting your account from settings.

16.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.

16.3 Effect of Termination

Upon termination, your access to the Platform will cease, and your QR codes will be deactivated. Data will be permanently deleted within 30 days unless legally required to retain.

17. Miscellaneous

17.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Scanalyzr.

17.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

17.3 Waiver

Failure to enforce any provision does not constitute a waiver of our right to enforce it later.

17.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
